Upwork's agency articles set the terms. "All agency members can submit proposals and each proposal draws from the agency's collective balance of Connects"; a business manager can also submit on any member's behalf, and every agency proposal must name an assigned member. Earnings from agency contracts go to the agency's account, and only business managers can accept an offer. On an hourly contract the member logs the time; on a fixed-price contract either the member or the manager submits milestones.

Membership comes in two kinds. An exclusive agency contractor "cannot determine their own profile rate and visibility" and "cannot join another agency or work as a freelancer"; only the agency owner and account admins can edit an exclusive member's rate, visibility and earnings privacy. A non-exclusive member keeps an independent profile and can bid for themselves. The distinction reaches the badges: an agency's Top Rated Plus is inherited by its exclusive members, and members without a JSS show as Rising Talent when their profiles are at least 60% complete. Adding members at all requires Agency Plus.

Because the Connects are shared and cannot be restricted to a member, Upwork gives an agency no per-member cost, and because proposals can be sent by a manager, it gives no per-member reply rate either.

How Upsight uses it. The roster is the list of members a workspace tracks, with each member's badges and profile read from Upwork; a campaign picks the member for each job, and the per-member funnel reports sent, viewed, replied and hired for that member whoever pressed send, with the denominator printed. Being on the roster and being staffable by the bidder are separate choices.
